BRANFORD CASTLE OVERVIEW

Branford is a long-term, control investor in small to medium sized "old economy" businesses. With each new investment, Branford builds on its senior management's 35-year history of buying and growing businesses, which now spans over 150 control investments and represents many billions of dollars in transaction value. Branford itself was founded in 1986 and is currently managing a substantial number of portfolio companies. New Branford platform investments typically fall in the $10-40MM enterprise value range

As an owner, Branford's primary focus is to help its portfolio companies grow. Branford has a "hands-off" approach to the day-to-day management of its businesses but looks to add value by providing sound strategic advice at key life-cycle points. Branford also spearheads capital raising efforts, "bolt-on" acquisition initiatives and other essential corporate level functions for its companies. In addition, Branford effectively utilizes its extensive network of relationships to "open doors" that facilitate growth.

As an investor, Branford believes that there are few organizations seeking small to mid-sized companies that offer the long-term view, deep pockets, expertise, and credibility that Branford Castle brings to an acquisition. Since it is not a fund (capital is generated through Branford's principals and the existing portfolio), Branford is not subject to the limited partnership pressures that shackle "financial" buyers. Thus, Branford has selected a "buy, grow and hold" strategy that offers sellers an attractive liquidity option promising short and long-term continuity to the business. In fact, the current portfolio companies have been held for a combined total of roughly 50 years. Branford is seeking expansion opportunities for both its existing businesses and new 'platform' investments in other industries.

Team
Branford's Chairman and founder, John K. Castle, is also the founder of Castle Harlan, Inc. a prominent New York Merchant Banking Firm with over $1 billion in committed capital that makes investments in middle market companies. Prior to founding Castle Harlan, Mr. Castle was President and CEO of Donaldson, Lufkin & Jenrette, a major Wall Street investment bank. Although Branford and Castle Harlan focus on deals with similar characteristics, Branford focuses on companies under $40 million in enterprise value whereas Castle Harlan rarely approaches companies with less than $80 million in value.

In addition to John K. Castle, Branford's team includes professionals with first-rate portfolio, deal evaluation and legal capabilities. Further, Branford has developed an extensive network of advisory professionals to help evaluate, finance and manage acquisition opportunities.
